Overview & Binding Agreement

This website, ecofriendlyutensils.com (the "Site"), is owned and operated by Urbantech Solutions, LLC, a Massachusetts limited liability company (together with its subsidiaries, parents, members, managers, officers, employees, and affiliates, "Company," "we," "us," or "our").

By accessing the Site, purchasing goods, or utilizing our services (collectively, the "Services"), you ("Customer," "User," or "you") unconditionally agree to be bound by these Terms of Service ("Terms"). If you do not accept these Terms in their entirety, you are strictly prohibited from using the Site or purchasing any products. We reserve the sole and absolute right to amend, update, or replace any portion of these Terms without prior notice. Continued use of the Site following any changes constitutes irrevocable acceptance of those changes.

Section 1 – Absolute Final Sale & No-Return Policy

No Returns, Exchanges, or Refunds: All sales of bagasse products, tableware, and packaging items via ecofriendlyutensils.com are 100% FINAL, NON-REFUNDABLE, AND NON-RETURNABLE.
Due to commercial hygiene, safety standards, and the nature of single-use food packaging materials, no return authorizations will be granted, and no store credits or partial refunds will be issued under any circumstances.
Unauthorized Returns: Any packages returned without explicit, written authorization from the Company will be immediately discarded or refused at delivery; no refund, replacement, or reimbursement will be issued.

Section 2 – Shipping, F.O.B. Origin, and Carrier Liability Release

Transfer of Risk and Title (F.O.B. Shipping Point): Title, ownership, and risk of loss or damage pass entirely to you the moment goods are transferred to the carrier (e.g., USPS, UPS, FedEx, freight carriers) at our fulfillment facility or warehouse.
Transit Damage & Lost Shipments: The Company is expressly not liable or responsible for shipments that are damaged, crushed, punctured, moisture-compromised, lost, stolen, or delayed during transit or after delivery.
Carrier Claims: Any claims for transit damage or loss must be initiated and pursued by the Customer directly with the carrier. The Company has no obligation to file claims, issue replacement units, or facilitate carrier disputes on the Customer’s behalf.

Section 3 – Order Modifications, Cancellations, and Right of Refusal

Unilateral Right to Cancel: The Company reserves the unilateral, absolute right to refuse, restrict, cancel, or modify any order placed for any reason whatsoever, including suspected fraud, pricing errors, inventory constraints, or unauthorized reseller activity.
No Customer Cancellations: Once an order is submitted by the Customer, it is immediately processed into fulfillment and cannot be canceled, amended, or redirected by the Customer.

Section 4 – Disclaimers of Warranties ("AS-IS" and "AS-AVAILABLE")

"AS-IS" Basis: To the fullest extent permitted by law, all products and Services offered on ecofriendlyutensils.com are provided on an "AS-IS" and "AS-AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
Waiver of Implied Warranties: The Company expressly disclaims all implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, commercial suitability, structural durability under extreme temperatures, or compatibility with specific food items.
Specifications: Product weights, dimensions, colors, and bagasse fiber textures are approximations and may exhibit slight industrial variations. Such minor discrepancies do not constitute a defect or breach of contract.

Section 5 – Strict Limitation of Liability

Exclusion of Consequential Damages: Under no circumstances shall Urbantech Solutions, LLC, its members, managers, directors, officers, employees, agents, affiliates, suppliers, or licensors be liable for any indirect, incidental, punitive, special, exemplary, or consequential damages of any kind, including but not limited to lost profits, lost revenue, lost business opportunities, inventory replacement costs, food contamination, downtime, or property damage.
Absolute Liability Cap: In no event shall the Company’s total aggregate liability arising out of or related to these Terms, the Site, or any product purchased from ecofriendlyutensils.com exceed the lesser of:
1. The exact purchase price paid by the Customer for the specific product unit giving rise to the claim, or
2. One Hundred U.S. Dollars ($100.00 USD).

Section 6 – Comprehensive Customer Indemnification

You agree to defend, indemnify, and hold harmless Urbantech Solutions, LLC, its parent companies, subsidiaries, affiliates, members, managers, officers, agents, contractors, and employees from and against any and all claims, demands, damages, liabilities, losses, judgments, costs, and expenses (including reasonable attorneys’ fees and litigation expenses) arising out of or relating to:

Your breach of these Terms;
Your misuse, commercial redistribution, improper storage, or end-use of any products purchased;
Your violation of any applicable federal, state, local, or international law, regulation, or third-party right.

Section 7 – Governing Law, Exclusive Jurisdiction, and Venue

Governing Law: These Terms, all purchase contracts, and any disputes arising between you and the Company shall be governed exclusively by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law principles or the UN Convention on Contracts for the International Sale of Goods.
Exclusive Forum: You irrevocably agree that any legal action, dispute, or proceeding arising out of or relating to these Terms or products purchased through ecofriendlyutensils.com must be instituted exclusively in the state or federal courts located in Middlesex County, Massachusetts. You expressly consent to the exclusive personal jurisdiction and venue of such courts and waive any objection as to inconvenient forum.

Section 8 – Class Action and Jury Trial Waiver

No Class Actions: You agree that any dispute resolution proceedings will be conducted solely on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to bring or participate in a class-action lawsuit or multi-party proceeding against Urbantech Solutions, LLC.
Jury Trial Waiver: To the fullest extent permitted by law, you knowingly, voluntarily, and intentionally waive any right to a trial by jury in any litigation or legal proceeding arising out of or related to these Terms or our products.

Section 9 – Intellectual Property

All content, branding, logos, graphics, images, text, and product copy on ecofriendlyutensils.com are the exclusive intellectual property of Urbantech Solutions, LLC. Any unauthorized reproduction, scraping, mirroring, modification, or commercial exploitation is strictly prohibited and subject to immediate legal enforcement.

Section 10 – Severability and Entire Agreement

If any provision of these Terms is deemed unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full legal force and effect.
These Terms constitute the entire, integrated agreement between you and Urbantech Solutions, LLC concerning the subject matter hereof, superseding any prior or contemporaneous oral or written representations.
